These terms and conditions govern the contractual relationship between Serenity-Web and the client for the creation of a website.
The Provider undertakes to provide a website creation service in accordance with the quote accepted by the Client. The details of the services and features are specified in the quote and/or specific contract.
Prices are indicated in USD. The services provided are not subject to VAT.
Payment is made according to the terms specified in the quote or contract. Unless otherwise agreed, payment is made as follows:
The completion times are given for information only and depend on the project and the information provided by the Client. The Provider undertakes to inform the Client in the event of a delay.
The Client undertakes to provide all elements necessary for the proper completion of the project (texts, images, access, content). The Client also guarantees that these elements comply with the rights of third parties.
The website provided under a subscription plan remains the exclusive property of Serenity-Web Agency for the entire duration of the subscription and as long as monthly payments are duly made.
The Client is granted a non-exclusive, non-transferable right to use the website for the duration of the subscription. This right of use does not constitute a transfer of ownership.
The Client may, at any time, request to purchase the website and obtain full ownership rights. The transfer of ownership shall be subject to a separate written agreement and payment of a buyout price agreed upon between Serenity-Web Agency and the Client.
Upon full payment of the agreed buyout price, ownership of the website (excluding the Provider’s proprietary tools, methods, and pre-existing assets) shall be transferred to the Client.
Minor and occasional updates are included in the monthly subscription plan. These updates may include small content changes (such as text, images, contact details, or minor layout adjustments) that do not substantially alter the structure, visual identity, core design, or functionality of the website.
For the avoidance of doubt, a complete redesign of the website — including but not limited to changes to the overall layout, visual identity, theme, structure, user interface, or user experience — is not included in the subscription plan.
Any major modification, structural change, feature addition, or complete or partial redesign of the website shall be subject to a separate quotation and additional fees.
The Provider reserves the right to determine whether a requested change qualifies as a minor update or a major modification.
The Provider cannot be held liable for indirect damages related to the use of the site, nor for service interruptions related to third parties (hosting, external tools).
Subscription fees are due in advance and are non-refundable once a billing period has started. Once a monthly payment has been made, the current month is non-refundable, regardless of early termination or cancellation by the Client.
The Provider respects the confidentiality of the data provided by the Client and undertakes to process it in accordance with the applicable regulations.
In the event of a dispute, an attempt at amicable resolution will be preferred. Failing this, the competent court will be that of the Provider’s registered office.
